Distractions are the norm; interactive and powerfully simple presentations are the solution. Join us for this session where you will learn how to break the mold of boring webinars and set the standard for Online Presentations. Contracts should not live in the ‘bottom drawer’ PART 1 17 September 2020 Live Online Webinar Contracts should not live in the ‘bottom drawer’. They should: • be fit for purpose; • drafted in plain unambiguous language; and • provide – to the extent that time permits – a plan to address for all likely issues that will arise. A much better contract results from a collaborative effort between the lawyers and those instructing them. In this two-part presentation Mark and Ashley will (i) survey issues that commonly arise when contracts are being drafted and (ii) look at the contractual issues when things go wrong. The presentation will be presented on-line which will limit audience interaction but audience participation is very much encouraged - either through questions posed during the presentation or, better still, before the presentation starts. The presentation will be very practical with observations and tips drawn from case studies and Mark and Ashley’s own experiences. Event outline All you wanted to know about contracts but were afraid to ask! Session 1: Getting to a signed contract Sanctity of contracts Risk allocation Pre-contract representations Design of contracts Hierarchy of contract content Drafting tips Common contentious clauses: Intellectual Property Data Security Delay/Force Majeure Warranties Liquidated Damages Liability Limitation Indemnities Your Presenters Mark Allen Ashley Cheng Mark Allen Mark is a corporate, commercial and IP lawyer. Before founding Aperion Law five years ago, Mark had been a partner of two leading Sydney law firms. He has over 35 years’ experience representing companies engaged in a wide variety of business enterprises all which have needed contracts, often for novel activities. Mark has worked on both managed service agreements and large scale hardware supply/software development contracts. Ashley Cheng Ashley is a corporate and commercial lawyer, holding degrees from UNSW and a Master in Law and Finance from Oxford. He has experience in providing legal advice to local and international clients on mergers and acquisitions, contract drafting and negotiation, litigation and dispute resolution. PMO Sydney Meetup 30 September 2020 What does Digital Transformation mean for PMO’s? What we'll do Digital transformation is nothing new, consumer requirements are constantly evolving, and companies are keeping up with varying degrees of success. Delivery methods are adapting and being customised as the pace of development is accelerating. Shareholders and Board members maintain more traditional requirements within these disruptive landscapes. ROI and sensible decision making around strategic synergy, risk exposure and asset utilisation still need to be demonstrated. Internal/external audit and governing body requirements continue. We need to plan to support this creativity in our own creative way. As PMO professionals how do we bring this together? Join Fatimah https://www.linkedin.com/in/fatimahabbouchi/ as she shares: • How we synergise varying governance requirements across a business, • How we evolve our capabilities to better support digital transformation and; • What does bringing it together in a creative way look like. Engineering & Construction Management Meetup 30 September 2020 Is traditional contracting dead? How data and machine learning can transform major projects About the Topic: Major projects in Australia and around the world consistently run over budget, over time, and under the promised benefits. Is the way we contract and share risks dead? In this interactive session, we will explore the future of contracting for project delivery, covering the core challenges we are experiencing today and more importantly, what actions can be taken to improve the way owners and contractors enter into a relationship to deliver projects. We’ll unpack the logic behind the use of data to level the playing field, introduce incentive mechanisms and drive efficient outcomes. We recommend this webinar to project delivery executives, project managers, and professionals in project services like planning and procurement. We want you to leave with a sense of how you can begin making changes in your organisation to realise the future of contracting. About the Presenter Toby Buchanan General Manager at nPlan https://www.linkedin.com/in/tobybuchanan12/ Toby is the General Manager of nPlan, a technology company, which uses machine learning and big data to forecast the time outcomes of projects. nPlan is bringing forth a new paradigm in managing risk and uncertainty on major projects. Toby has felt the pain of delivering projects first hand, having worked for 7 years on major urban regeneration schemes as a Project Manager at Lendlease, in Australia and the UK. Toby holds an MBA from London Business School, and Bachelor of Engineering from University of Sydney. As practices in the industry change under the pressure of innovation after decades of low productivity growth, and as venture capital funding flows rapidly to unlock new opportunities to solve these challenges, Toby is excited by the opportunity he has at nPlan to make an impact at an organisational and industry level.
